1. Definitions

In these Terms and Conditions, the following terms shall have the following meanings:

  • "Aggregator" means [TRANSPOTA FREIGHT & LOGISTICS LIMITED], a company duly registered and existing under the laws of Nigeria
  • "Customer" means any individual or entity that uses the Aggregator's Services in connection with the transportation of goods.
  • "Freight" means any goods or merchandise that the Customer wishes to have transported by truck.
  • "Services" means the services provided by the Aggregator to the Customer, including the matching of Customers with trucking companies, the negotiation of rates and terms of carriage, and the payment of freight charges.
  • "Trucking Company" means any company that owns or leases trucks and provides trucking services.

2. Acceptance of Terms and Conditions

By using the Aggregator's Services, the Customer agrees to be bound by these Terms and Conditions. If the Customer does not agree to these Terms and Conditions, the Customer may not use the Aggregator's Services.

3. Services

The Aggregator provides a platform that matches Customers with trucking companies that can transport their Freight. The Aggregator does not own or operate any trucks, and it does not employ any drivers. The Aggregator acts as an intermediary between Customers and trucking companies.

4. Matching of Customers and Trucking Companies

The Aggregator will use its best efforts to match Customers with trucking companies that are qualified and reliable. The Aggregator will consider the following factors in making its matches:

  • The Customer's needs and requirements
  • The trucking company's experience and capabilities
  • The location of the Freight
  • The type of Freight
  • >The desired delivery date

5. Negotiation of Rates and Terms of Carriage

The Aggregator will not negotiate rates or terms of carriage on behalf of the Customer. The Customer is responsible for negotiating rates and terms of carriage directly with the trucking company.

6. Payment

The Customer is responsible for paying the trucking company for the transportation of its Freight. The Aggregator may charge a commission on the Freight charges. The amount of the commission will be disclosed to the Customer before the Customer agrees to use the Aggregator's Services.

7. Liability

The Aggregator is not liable for any loss or damage to the Customer's Freight, or for any delay in delivery of the Freight. The trucking company is solely responsible for the safe and timely delivery of the Freight.

8. Indemnification

The Customer agrees to indemnify and hold harmless the Aggregator from and against any and all claims, damages, liabilities, costs, and expenses arising out of or in connection with the Customer's use of the Aggregator's Services.

9. Termination

The Aggregator may terminate these Terms and Conditions at any time without notice to the Customer. The Customer may terminate these Terms and Conditions by providing written notice to the Aggregator.

10. Entire Agreement

These Terms and Conditions constitute the entire agreement between the Customer and the Aggregator with respect to the subject matter hereof.

11. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria

12. Severability

If any provision of these Terms and Conditions is held to be invalid or unenforceable, such provision shall be struck from these Terms and Conditions and the remaining provisions shall remain in full force and effect.

13. Waiver

No waiver of any provision of these Terms and Conditions shall be effective unless in writing and signed by both parties.

14. Notices

All notices and other communications hereunder shall be in writing and shall be deemed to have been duly given when delivered in person, upon the first business day following deposit in the United States mail, postage prepaid, certified or registered, return receipt requested, addressed as follows:

15. Counterparts

These Terms and Conditions may be executed in one or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
